These Terms of Service govern the relationship between Tek Particle and clients who engage our services, software products, advisory work, design and development solutions, growth marketing support, strategic planning, and consultation services.
Tek Particle delivers end-to-end business solutions spanning software engineering, product strategy, UX/UI design, marketing services, business consulting, app development, infrastructure support, and digital transformation projects. Project scope and deliverables will be defined in a proposal, statement of work, or other agreement signed by both parties.
Clients are responsible for supplying timely information, access to relevant systems, approvals, and required business context necessary to complete the engagement. Delays in feedback, approvals, access, or data provision may affect timelines and associated milestones.
Fees for services will be agreed in writing before work begins. Tek Particle may invoice clients according to project milestones, a fixed project fee, subscription, retainer, or other agreed structure. Late payments may result in suspension of work or additional charges as stated in the relevant agreement.
We aim to deliver work according to agreed timelines and milestones, but actual delivery dates may change based on client feedback cycles, required revisions, external dependencies, scope changes, or third-party delays. Any forecasted schedule is subject to revision when project assumptions change.
Except where otherwise agreed in writing, client-owned business information and materials provided by the client remain their property. Tek Particle retains ownership of its pre-existing templates, processes, frameworks, proprietary tools, and general intellectual property used in the delivery of services.
Custom work developed specifically for a client may be assigned to the client under the agreed contract, subject to any exclusions, licenses, or third-party components that remain under the ownership of their respective rights holders.
Both parties agree to keep confidential information shared during the engagement strictly confidential, except to the extent disclosure is required by law, professional standards, or operational necessity. Tek Particle will use reasonable care to protect client information and may only use it for the purpose of delivering the agreed services.
When we build or support software, applications, or digital assets, clients are responsible for ensuring they comply with all applicable app store guidelines, platform policies, security requirements, and regulatory obligations. Tek Particle may integrate or rely on third-party services, tools, or infrastructure, which are subject to their own terms and policies.
Tek Particle provides services in a professional manner consistent with industry standards. We do not guarantee specific business outcomes, sales performance, conversion rates, or market results beyond the agreed deliverables and contractual commitments. Our liability is limited to the fees paid for the relevant service, except where prohibited by applicable law.
Either party may terminate an engagement in accordance with the terms of the signed agreement. Upon termination, all unpaid fees for work completed or in progress remain due, and each party will return or destroy any confidential information belonging to the other party when requested.
Tek Particle may update these Terms of Service from time to time. Continued use of our services, platforms, apps, or website after updates constitutes acceptance of the revised terms.
These Terms of Service are governed by the laws of the jurisdiction in which Tek Particle operates, without regard to conflict of law rules. If a dispute arises, the parties will first attempt good-faith resolution before pursuing legal remedies.
